Preface
Welcome to SocialPulse Nexus. These Terms of Service (“Terms”) govern your access to and use of our social-media intelligence and orchestration platform (the “Services”). By registering for or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
1. Important Definitions

“User”: any individual or entity accessing or using the Services.

“Account”: your unique login credentials for the Services.

“Organization”: an enterprise or agency account under which multiple Users operate.

“Content”: text, images, data, or other materials you upload, post, or transmit via the Services.

“SocialPulse Nexus” or “we”/“us”: refers to SocialPulse Nexus Sdn Bhd, provider of the Services.
2. Account Registration, Use & Management

Eligibility. You must be at least 18 years old and have the legal capacity to enter into these Terms.

Registration. You register with a valid email address and password, providing accurate information and keeping it up to date in your Account settings.

Account Security. You are responsible for safeguarding your Account credentials and for all activities conducted under your Account. Notify us immediately of any unauthorized use.

Organization Accounts. If invited by an Organization administrator, you must comply with any additional policies or restrictions they impose.
3. Service Content & Use Restrictions

Permitted Use. You may use the Services solely for legitimate business purposes to manage and analyze social-media interactions.

Prohibited Conduct. You agree not to:

Interfere with or disrupt the Services or connected networks.

Attempt unauthorized access to any part of the Services.

Upload or share content that is unlawful, defamatory, obscene, or infringes third-party rights.

Use the Services to send spam, phishing, or other malicious communications.

Content Regulation. All Content must comply with the Communications and Multimedia Act 1998, which governs online content and network services in Malaysia.
4. Fees & Payment
Certain features require payment of subscription or usage fees (“Fees”) as described on our pricing page. All Fees are non-refundable unless expressly stated. You agree to pay all Fees in accordance with the selected payment terms; failure to pay may result in Account suspension or termination.
5. Intellectual Property

Our Rights. We (and our licensors) own all rights in the Services, including software, technology, and our provided content.

Your Content. You retain ownership of any Content you submit. You grant us a worldwide, royalty-free license to host, display, reproduce, and process your Content as needed to provide the Services.

Feedback. Any feedback you provide is non-confidential and shall be owned by us.
6. Electronic Transactions & Signatures
Contracts you form electronically via our platform are legally binding under the Electronic Commerce Act 2006, which recognizes electronic messages and signatures in Malaysia.
7. Data Protection & Privacy

Compliance. We process personal data in accordance with the Personal Data Protection Act 2010 (“PDPA”), which regulates data processing in commercial transactions to protect data subjects’ interests.

Privacy Policy. Detailed information on how we collect, use, store, and disclose personal data is available in our Privacy Policy, which you must review and accept.
8. Consumer Rights
Your use of the Services is subject to protections under the Consumer Protection Act 1999, which safeguards consumers against unfair practices in Malaysia.
9. Confidentiality
Each party agrees to keep the other’s non-public business information (e.g., pricing, roadmaps, customer data) confidential and to use it only as permitted by these Terms. This obligation survives termination.
10. Termination

By You. You may delete your Account at any time via account settings.

By Us. We may suspend or terminate your Account for breach of these Terms or failure to pay Fees. Upon termination, your right to access the Services immediately ceases.

Effect. Termination does not relieve you of payment obligations accrued prior to termination.
11. Limitation of Liability & Disclaimer

Disclaimer. The Services are provided “as-is” and “as-available,” without warranties of any kind.

Limitation. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or data. Our total liability is capped at the total Fees you paid in the six months prior to the claim.
12. Notices
All notices must be in writing. We may provide notice via email to your registered address or via postings on our website. Notices are effective when sent.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Malaysia, including:

Communications and Multimedia Act 1998
Any dispute will be submitted to the exclusive jurisdiction of the Malaysian courts in Kuala Lumpur.
14. Miscellaneous

Amendments. We may update these Terms; material changes will be communicated 30 days in advance. Continued use after the effective date constitutes acceptance.

Entire Agreement. These Terms, along with our Privacy Policy and any SLAs, constitute the entire agreement regarding the Services.

Severability. If any provision is held invalid, the remaining provisions remain in effect.

Assignment. You may not assign your rights without our prior written consent; we may freely assign ours.
